Huddol Journeys is a mobile application (“Application”) which provides people who have created an account access to transformational 7-day journeys, through which they can access content (“media”, “video”, and “audio”), post in social forums (“Discussion”), keep a journal (“Journal”), register to live classes (“Live Classes”), and listen to podcasts (“Podcasts”). All told these describe the Application services (“Services”). Our policies play an important role in creating an inviting community for our members.
When we use the terms “users” or “you” in this Agreement, we mean individuals using our Application as either registered members of the Application (“Members”), or registered experts of the Application (“Mentors”).
When we use the term “Device” in this Agreement, we refer to the device which is used to access the Application including but not limited to computers, smartphones and tablets.
Any Services accessed through the Application are for your personal and non-commercial use only.
The Application contains audio, video and other content owned or licensed by Huddol (“Journeys Content”). Journeys Content is protected by copyright, trademark, patent, trade secret and other laws, and, as between you and Huddol, Huddol owns and retains all rights in the Journeys Content.
By accessing or using the Application and its Services, you agree to the terms of the Agreement, so please read the Terms below carefully. If you do not agree to our Terms and Conditions of use in this Agreement, refrain from using the Application. We will update this Agreement periodically, so check back for any updates.
1.1 Becoming a Huddol Journeys Member
To become a member of the Application (a “Member”), you must subscribe to the Application Services (“Services”) and create a member account. A member account is created by submitting your email address and creating a username and password.
1.2 After registering as a Huddol Journeys Member
As a Huddol Journeys Member you are responsible for maintaining the confidentiality of your Huddol Journeys account, password and other User Information and for restricting access to your Device to further help protect such information. You are responsible for updating your User Information.
As a Member, you may receive access to sections, features and/or functions of the Application that are not made accessible to non-members. As a Member you agree to receiving occasional marketing and Application related communication emails and notifications. You can unsubscribe from these communication emails and notifications by opting out.
1.3 Login Information and Credentials
You are responsible for keeping your Member name and password secure and private and for any activity that occurs from within your account with and without your knowledge. Do not share your login information with anyone else. If you do, we may temporarily or permanently end your membership. You are required to notify Huddol of any unauthorized use of your account.
Huddol and its Representatives will not be held liable for any losses or damages, direct or indirect, pecuniary or non-pecuniary, resulting from your failure to log out at the end of the session, an unattended logged-in session, or a third party using the Application with your account information and accessing your account through any means, and disclaims any responsibility in this regard.
1.4 Use of Huddol Journeys by Minors
You must be over 18 years old, or the age of majority in your province, territory or country, to sign up as a registered user of the Application and its Services. Individuals under the age of 18, or the applicable age of majority, may utilize the Application and Services only with the involvement and consent of a parent or legal guardian, under such person’s account and otherwise subject to these Terms. We reserve the absolute discretion to determine your eligibility to become a Member. If a member is found to be under the age of 18, their account will be deleted.
The Huddol Journeys Service is accessed through a fee-based subscription program. You can purchase a subscription to the Services from within the mobile application.
2.1 Billing & Cancellations
Huddol Journeys offers an annual subscription option that provides full access to the Services. For the purposes of our yearly subscriptions, a year constitutes 365 calendar days.
To subscribe to the Huddol Journeys Service you must provide a current, valid, accepted method of payment, which you may update from time to time (“Payment Method”).
Unless you cancel your subscription at least 24 hours in advance of your next billing date, you authorize Huddol to charge your next subscription fee to your Payment Method. You can find specific details regarding your Huddol Journeys subscription by entering the settings area of the mobile Application.
Our “Yearly” subscriptions are paid for through an upfront one-off payment with automatic annual renewals. You acknowledge and agree that Huddol is authorized to charge the Payment Method used for (i) the initial annual subscription fee at the rate secured at the time of purchase, and (ii) the renewal subscription fee(s) at the effective rate in effect at the time of any such renewal. You must cancel your subscription at least 24 hours before it renews in order to avoid billing of the renewal subscription fee to the Payment Method you provided.
You can cancel your Huddol Journeys subscription at any time, and you will continue to have access to the Application Services through the end of your current subscription billing period.
To cancel, enter the settings area of the mobile Application and follow the instructions for cancellation. When your subscription has expired, your account will be set to free, which will provide limited access to the Application Services.
2.2 Changing Fees And Charges
We may change our subscription plans and the price of the Services from time to time; however, any price changes or changes to our subscription plans will apply to you no earlier than 30 days following notice to you.
2.3 Free trial and discounted pricing
Your Huddol Journeys experience starts with a free trial. The free trial period provides limited-time access to the Application Services.
We may also offer discounted pricing for a limited period of your subscription.
Eligibility for the free trial or any discounted pricing is determined by Huddol at its sole discretion and we may limit eligibility to prevent abuse of the free trial or discounted pricing. We reserve the right to revoke the free trial or discounted pricing and put your account on hold in the event that we determine that you are not eligible or are abusing the offer. Restrictions may apply in case of combinations with other offers.
We will charge your Payment Method for your yearly subscription fee when you become a paid subscriber. The subscriber plan will automatically renew yearly.
During the period of your subscription, we grant you a limited, non-exclusive, non-transferable license to access the Application and Huddol Journeys Content.
Your membership and subscription are not transferable and therefore cannot be sold or exchanged or transferred in any way.
2.4 Promotion or other offers
Any promotion code or offer provided by us may not be used in conjunction with any other promotion code or offer, past or present. Introductory offers are only available to new users of the Application, except where expressly stated otherwise. Previous users of the Application do not qualify as new users. No promotion code or discount will apply to corporate or other Community subscriptions unless agreed upon otherwise. Unless otherwise set forth in the terms of any promotion, all pricing promotions or discounts will apply to the initial period of the subscription, and any renewals will be charged at the rate in effect at the time of renewal for the type of subscription purchased.
Refunds may be requested from the Google Play or Apple stores and is subject to their return policies.
If you purchase through one or more of our bundle subscription partners, the purchase may be further subject to the Terms and Conditions of such partners, and payment and management of the bundle subscription may be administered by them.
The Huddol Journeys Application is a software product that provides learning content in the areas of personal growth, health and wellness. We are not a mental health, health care, or medical device provider, nor should our Services be considered medical advice. Only your physician or other health care provider can provide medical advice.
Content on the Huddol Journeys Application including but not limited to text, graphics, video, audio, articles, information from third parties, and discussions, may include medical information that is provided only for your convenience and are intended for general information purposes only.
This information does not constitute medical advice or substitute for a medical examination. If you have a medical concern, please consult a medical professional or seek advice from your physician or other health professional. Do not delay or ignore the advice of your health care provider or delay in getting care because of content on this Application or its Services. If you have an emergency, please call 911 or your doctor immediately.
We are not liable or responsible for any consequences of your having read or been told about such advice or other materials as you assume full responsibility for your decisions and actions. In particular, to the fullest extent permitted by law, we make no representation or warranties about the accuracy, completeness, or suitability for any purpose of the advice, other materials and information published as part of the Services.
Neither Huddol nor any other party associated with Huddol is liable for any advice provided to you by Mentors or other Members.
Your medical care and mental health care are solely your responsibility.
MENTORS ARE NOT THE EMPLOYEES OR AGENTS OF HUDDOL AND ARE NOT CREDENTIALED BY HUDDOL. Each Mentor is an independent contractor who is solely responsible for any Services provided by them to you.
Huddol is an Application that supports discussions and social exchanges between our Members, and, as such, our policy is to support the free exchange of ideas and positive Member interactions. We require Members to interact in a way that is respectful to others and does not inhibit anyone else from using the Application.
You are responsible for the content you post or exchange on Huddol and any consequence of adding that information to the Application.
By using the Application, you agree to:
Post content that is respectful of others. Avoid hate speech – do not include language that is threatening, abusive, harassing, defamatory, fraudulent or obscene. Not post content related to medical advice that is presented as fact without adequate scientific evidence. Not post or share information that violates the legal rights of others, including violating the privacy rights, publicity rights, copyrights, contract rights or any other rights, of any person or entity. Not use the Application to link to any third-party website that is a spam or phishing website, to any website that sells goods or services not related to the activities or themes of the Application, or to any website that may violate any applicable law. Not use the Application in any way that will likely interrupt the Application’s function or damages the service, or the infrastructure used to run the Application. Not use automated methods to harvest, scrape and/or repurpose content. The use of any robot, spider, site search/retrieval application, or another device to retrieve or index any portion of the Application or collect information about Members for any unauthorized purpose is prohibited. Failure to comply with any of the aforementioned use parameters will entitle the administrators of Huddol Journeys to delete or suspend your account and may result in the loss of any and all Application related benefits accrued, or subscription fees paid by you.
You agree that all the information you provide during registration, Service and Application usage is accurate, true, and not misleading. You may not create multiple accounts to impersonate someone on the Application or take advantage of the Application Services. If your account has been terminated, you may not create a new account without the permission of Huddol.
While we make efforts to detect harmful content on Huddol Journeys, we do not pre-screen or otherwise guarantee the Application will be free from inappropriate content or conduct. While rare, inappropriate content could appear, and you access the content at your own risk. We rely on you to let us know about content that may violate our policies. If you see something that you think is inappropriate, please report it to email@example.com. After reviewing content, we may take action, including restricting access to the content, removing the content, and limiting or terminating a Member’s access to the Application. Note, that we may make exceptions to these policies for educational, medical, or informational purposes and we reserve the right to remove content for other reasons.
International Members agree to comply with their own local rules regarding online conduct and acceptable content, including laws regulating the export of data to Canada or your country of residence
You add information to the Application when you complete your account creation and complete forms on the Application to create a “Member Profile” (“Information”) and through posting content in Discussions (“Member Generated Content”). Beyond the information required to register, adding information on the Application is voluntary.
Huddol intentionally limits its request for information that can be used on its own or with other information to identify, contact, or locate a single person, or to identify an individual in context (“Personally Identifiable Information” or “PII”). You should be aware that the more information you add to the Application, the greater the chances that someone will be able to use that information to locate or identify you.
In addition, we do not screen the information people post. We cannot stop you from entering PII as free text on the Application, and you do so at your own risk.
You are responsible for the Information and Member Generated Content that you enter on the Application. Only share information and content that you legally have the right to share through personal ownership or because you have permission from the owner to share it.
Huddol, its affiliates and their respective representatives, officers, directors, owners, officials, partners, partnerships, principals, employees, affiliates and other related entities, agents, representatives, successors and assigns (hereinafter “Representatives”), will not be held liable for any damages, pecuniary or otherwise, to you or any third party arising from your submission or use of Member Generated Content, whether it violates these Terms or not, and disclaims any responsibility in this regard.
6b. Mentor Credentials
At all times the Mentors will provide correct and accurate representation of their skills, degrees, qualifications, background and other information, whether this information is provided to us, to the Member and on any form submitted to or presented in the Application. Furthermore, Mentors agree that during the term of this Agreement they will make sure to maintain and update this information so it will continue to be accurate, current and complete.
Although Huddol assesses and interviews Mentors, we have no means to guarantee that such Mentors specialize in their claimed fields. Huddol is not responsible for credentialing Mentors, makes no representation regarding the accuracy of Mentors’ credentials, and expressly disclaims any liability for inaccurate or fraudulent credentials or claims by Mentors.
6c. Mentor Conduct
When providing Mentor Services or making any other use of Application, the Mentor must exercise a reasonable standard of care, at least the same as the Mentor would in a similar transaction not conducted through the Application or the Internet. Without derogating from the above, the Mentor must exercise the standard of care mandated by their profession.
The Mentors will not provide to you any services other than those available through the Application.
The Mentors will not provide to you any services which may not be lawfully rendered or provided through the Application according to the laws, regulations and ethics that apply in the Mentor’s jurisdiction.
The Mentors will not diagnose, treat, test, advise, counsel, recommend a course of treatment, or otherwise provide or perform any services that require an in-person meeting with you or examination of you.
The Mentors will provide services only about and in respect of non-emergency matters and issues. For emergency matters and issues the Mentors will instruct you to immediately call 911 or your local emergency assistance number.
The Mentors agree to never engage in the practice of medicine or enter into a physician/patient relationship with you through the Application.
The Mentors will not prescribe or dispense medicines to you.
The Mentors will advise you whenever appropriate that their advice is not a substitute for the advice or treatment of a physician after physical examination.
Whenever appropriate, the Mentors will recommend you seek help by meeting a qualified professional face-to-face.
The Mentors may not use this Application to solicit the performance of any illegal activity or other activity which infringes your rights or the rights of others.
The Mentor agrees and commits not to violate any applicable local, state, national or international law, statute, ordinance, rule, regulation or ethical code in relation to the use of the Application and to the Mentor’s relationship with you and Huddol Journeys. The Mentor further agrees and commits not to engage in conduct that is harmful, unethical, fraudulent, deceptive or offensive.
The Application content, including any content available only to Members is for the personal use of individual Members only and may not be used in connection with any commercial endeavors without the permission of Huddol.
As a Member of the Application, you agree to protect copyright and the intellectual property of others. You may not upload, embed, post, email, transmit or otherwise make available any material that infringes any copyright, patent, trademark, trade secret or other proprietary rights of any person or entity. When appropriate, we will terminate the membership of a Member who violates this policy.
The elements of the Application, excluding Member Generated Content and including logos, graphics, images, software, icons and other elements are the exclusive property of Huddol or our partners and are protected by the copyright and other intellectual property laws of Canada and other countries. The core technology of the Application and all of the related software code remains the sole property of Huddol. All rights not explicitly granted herein are reserved. Any infringement of our rights will result in appropriate legal action.
If you believe your work has been copied and posted on or through the Application in a way that constitutes copyright infringement, you may request removal of those materials (or access to them) from the Application. Please contact us at firstname.lastname@example.org for more information.
If Member Generated Content that you submitted has been removed as a result of a request, and you believe that your Content was posted legally, please contact us at email@example.com to contest the claim and to ask us to re-post it.
If you choose to communicate to us suggestions for improvements to the Application or any service available on the Application (collectively, “Feedback”), Huddol shall own all right, title, and interest in and to the Feedback and will be entitled to use the Feedback without restriction. You hereby irrevocably assign all right, title and interest in and to the Feedback to Huddol and waive in favor of Huddol, its successors and assigns any and all rights in the Feedback and agree to provide Huddol such assistance as Huddol may require to document, perfect, and maintain Huddol’s rights to the Feedback. You acknowledge and agree that, by providing any Feedback to Huddol, you are not entitled to any compensation or reimbursement of any kind from Huddol under any circumstances.
Huddol may contain links to other websites or services that are not under the control of Huddol. The inclusion of any link does not imply endorsement by Huddol of such site and Huddol is not responsible for the content of such linked sites or services.
In no way will Huddol or its Representatives be held responsible for any damages, direct or indirect, pecuniary or non-pecuniary: (1) for your use of websites or other services that may be linked to from the Application or the information thereon; (2) for any virus, Trojan horse, worm or other similar destructive file received as a result of your use of those websites or services; (3) caused by or in connection with, use of or reliance on any content, or products or services (whether free or for purchase) available on or through any linked-to website or service; or (4) for the actions of the operators of any such website or service.
Huddol may terminate your membership with or without prior notice or cause because of:
We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on the Application. We encourage you to review this Agreement periodically for any updates or changes, which will include the date it is effective. If we make any substantial changes to this Agreement that materially affect your legal relationship with Huddol, we will use commercially reasonable efforts to notify you by sending a notice to the primary email address specified in your account or by posting a prominent notice when you log in to your account for the first time following those changes.
We do not endorse any particular service providers, products, health providers, tests or other information that appears on the Application. We supply information for you to use in making decisions; however, you use the Application at your own risk.
You expressly understand and agree that your use of the Application, the information thereon (whether provided by Huddol or third parties, including but not limited to other Members) or any activity arising from your use of the Application or the information thereon or the materials downloaded therefrom is at your sole risk. The Application, any materials downloaded therefrom, or any third party materials, are provided on an “as is” and “as available” basis, and you will be solely responsible for any damage to your computer system or loss of data that results from the download, stream or access of any material obtained through the use of the Application or any other functionalities of the Application, or losses or damages (financial or otherwise) resulting from your use of the Application, the information thereon, any materials downloaded therefrom, or any activity arising from the use of the Application, the information thereon or any materials downloaded therefrom.
The information or resources provided through the Application, written or produced by Huddol staff, freelance writers or other subcontractors hired by Huddol are expected to be as accurate as reasonably possible at the time of writing or production, and every effort has been made to ensure that the information from the Application is as accurate and up-to-date as possible. However, certain information may change, and errors or omissions may occur, and Huddol shall not be responsible for any loss or damage, financial or otherwise, resulting from changes or errors in information, or any omission, on the Application or the information thereon. Huddol makes no warranty whatsoever regarding the accuracy of information provided by Members in the form of Member Generated Content, and expressly disclaims any responsibility in this regard.
Huddol expressly disclaim all warranties of any kind, whether express or implied, including but not limited to: warranties of title and non-infringement; warranties that the Application, the information thereon or any materials downloaded therefrom, and any third-party materials will be uninterrupted, error-free, accurate, reliable and free from virus and other harmful components; and the implied warranties of merchantability and fitness for a particular purpose. Huddol and its affiliates and their respective Representatives, do not warrant that: (i) the Application will be secure or available at any particular time or location; (ii) any defects or errors or omissions will be corrected; (iii) any content (whether provided by Huddol or third parties) available at or through the Application is free of viruses or other harmful components; or (iv) the results of using the Application or any content downloaded will meet your requirements.
Some of the content displayed on the Application (including but not limited to Member Generated Content) may include materials (including with respect to products or services) that belong to or are provided by third parties. You acknowledge that we assume no responsibility for such content, products and/or services.
To the extent that the law does not permit a disclaimer of warranties, all content accessible on this Application, or any other website to which we link, and all operations on this Application are warranted only to the minimum amount legally required.
You expressly understand and agree that Huddol and its Representatives shall not be liable for any direct, indirect, incidental, special, consequential, exemplary; punitive or other damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, in contract, tort, strict liability, negligence, general civil liability, or any other cause of action under legal or equitable theory, relating to the Application, the information on the Application, the use of the Application, activities arising from your use of the Application, any third party materials (including but not limited to Member Generated Content) on the Application, or any materials downloaded from the Application. This limitation of liability applies, without limitation, to any damages or injury caused by any error, omission or other failure of performance by Huddol and its Representatives; any interruption, defect or delay in operation or transmission, including communication line failure; any computer virus; and any theft, destruction or alteration of, or unauthorized access to or use of, any electronic records.
If you register as a Member, you agree that Huddol may send notices to you by email at the email address you provide when registering to become a Member (or which you later update using the functionality of the Application).
You understand, agree and acknowledge that we may modify, suspend, disrupt or discontinue the Application, any part of the Application or the use of the Application, whether to all members or to you specifically, at any time with or without notice to you. You agree and acknowledge that we will not be liable for any of the aforementioned actions or for any losses or damages whether pecuniary or otherwise that are caused by or relate to any of the aforementioned actions. In the event of the termination of the application, subscription fees paid by members will not be refunded.
The Application depends on various factors such as software, hardware and tools, either our own or those owned and/or operated by our contractors and suppliers. While we make commercially reasonable efforts to ensure the Application’s reliability and accessibility, you understand and agree that no Application can be 100% reliable and accessible and so we cannot guarantee that access to the Application will be uninterrupted or that it will be accessible, consistent, timely or error-free at all times.
This Agreement and your use of the Application shall be governed by and construed in accordance with the laws of the Province of Québec, Canada, in force at the time without regard to conflict of law provisions. You agree that any legal action or proceeding between you and Huddol shall be brought exclusively in the courts located in the Judicial District of Montreal, Quebec, Canada. Notwithstanding the foregoing, Huddol shall have the right to bring action against you in courts of competent jurisdiction in the jurisdiction in which you reside or are located: (i) to seek injunctive relief against you; (ii) to obtain a judgment against you where a judgment by the Montreal court will, or may not be, enforced by the jurisdiction in which you reside or are located; or (iii) to enforce a judgment obtained against you in the Montreal court.
